1. Acceptance of Terms

By accessing or using Kontratai ("the Service"), operated by Morphic Labs, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Kontratai is an AI-powered contract analysis and negotiation platform. The Service uses artificial intelligence to analyze contracts clause by clause, detect risks, and facilitate negotiation between parties. The Service does not constitute legal advice.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to use the Service.

4. Subscription and Payments

Kontratai offers paid subscription plans billed monthly or annually through Lemon Squeezy. By subscribing, you authorize recurring charges. You may cancel at any time; access continues until the end of the billing period. Refunds are handled according to Lemon Squeezy's refund policy.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload contracts you do not have the right to analyze
• Attempt to reverse-engineer, decompile, or extract the AI models
• Share invite links with unauthorized parties
• Use automated systems to access the Service without permission
• Interfere with the Service's infrastructure or other users' access

6. Intellectual Property

You retain ownership of all contracts and documents you upload. Kontratai does not claim any rights over your content. AI-generated analyses are provided as part of the Service and may not be redistributed commercially without permission.

7. AI Disclaimer

Kontratai is not a law firm and does not provide legal advice. The AI analysis is informational only and should not be relied upon as a substitute for professional legal counsel. Always consult a qualified attorney before making legal decisions based on contract analysis. Kontratai is not liable for decisions made based on AI-generated analysis.

8. Guest Access

Contract owners may invite other parties via unique links. Guests can view contract analysis (excluding the owner's negotiation strategy), comment on clauses, and approve or reject proposed changes. Guest access may be revoked at any time by the contract owner.

9. Data Handling

Uploaded contracts are stored securely in encrypted storage. Contract data is processed by AI models (OpenAI GPT-4o-mini) for analysis purposes only. We do not use your contracts to train AI models. See our Privacy Policy for details.

10. Limitation of Liability

To the maximum extent permitted by law, Kontratai and Morphic Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted within 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration.
